GENERAL TERMS OF SERVICE

Preamble
Bayes Impact France is a non-profit association (loi 1901) recognised as serving the public interest, founded in 2014, which designs digital services of general interest in response to societal challenges. The Association offers a platform for designing artificial intelligence agents tailored to the requirements of public and private actors with a public interest mission, in order to harness the potential of artificial intelligence both in terms of organisational efficiency and the support of beneficiaries and users (the "Association"). The General Terms of Service (the "GTS") govern your use of the AI agent design platform (the "Bayes Platform"). The Bayes Platform enables Partners to develop their own artificial intelligence agents using various foundation models and technological building blocks provided by Bayes Impact. The purpose of these agents is determined by each Partner according to the services it provides to its Beneficiaries, within the limits of the Permitted Uses set out in these General Terms of Service. The agents developed by Partners thus facilitate the supporting role of Users by providing them with suggested responses to Beneficiaries. These suggestions are proposals only and remain at all times under the control of the User, including for requests made directly by the Beneficiary. Under no circumstances do they constitute the direct performance of actions on behalf of the Beneficiary or a replacement of the User.
1. Definitions
"Bayes Platform" or the "Service" refers to an AI agent design platform made available by Bayes Impact. This platform is used to enable Partners to develop their own agents. "AI Models" refers to the general-purpose foundation models made available on the Bayes Platform. The list of these Models is updated upon each modification. "Building Blocks" are the technological components made available on the Bayes Platform to enable the design of AI Agents. They include both AI Models and the connectors and repositories developed by Bayes Impact. "AI Agents" refers to the agents developed on the Bayes Platform by Partners using the Building Blocks made available to them. Each AI Agent may include a conversational chatbot and a repository of services or pre-designed questions. The "Association" is the association Bayes Impact France, which develops the Bayes Platform. It may act as its host under a Service Agreement. "Partners" are actors from the social sector, whether public or private, who wish to use the AI System to facilitate the support of Beneficiaries. "Users" are the social workers, employees or volunteers of Partners. "Beneficiaries" are the end-users of Partners. "Permitted Uses" are the requests that may be submitted through AI Agents. These are strictly governed by these General Terms of Service, in particular to ensure compliance with applicable legal rules. "Service Agreement" refers to the service level agreement that may be entered into between the Association and a Partner to supplement these General Terms of Service.
2. Scope and Validity
The General Terms of Service exclusively govern the use of the Bayes Platform by Partners. They do not preclude the use of specific terms and conditions to govern relations between Partners, Users and Beneficiaries, in particular to ensure Partners meet their own obligations regarding AI governance. Any terms and conditions defined by the Partner may under no circumstances affect the relations between Partners, Users and Beneficiaries and the Association. Any service offered by the Association, including the provision of the Bayes Platform — notably with respect to its hosting or the processing of personal data — may be the subject of a separate Service Agreement supplementing these General Terms of Service. These General Terms of Service are communicated to each Partner prior to any provision of the Bayes Platform, during the exchanges preceding the signature of a Service Agreement for the Bayes Platform, and upon signature of such an agreement. Where the Bayes Platform is used from its open-source code, under the MIT licence, it is provided "as is", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement. Where the Bayes Platform is used from its open-source code, in no event shall the authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Bayes Platform or the use or other dealings in the Bayes Platform.
3. Description of the Bayes Platform
The Bayes Platform enables Partners to develop AI Agents using the Building Blocks made available to them. AI Agents facilitate the supporting role of Users by providing them with suggested responses to Beneficiaries. These suggestions are proposals only and remain at all times under the control of the User, including for requests made directly by the Beneficiary. Under no circumstances do they constitute the direct performance of actions on behalf of the Beneficiary or a replacement of the User. The Bayes Platform includes the AI Agents designed thereon only where they remain hosted on Bayes Impact's infrastructure for the duration of their use. The Bayes Platform does not include any other service offered by the Association beyond the provision of the Bayes Platform itself, such as the installation of the Bayes Platform or AI Agents on the Partner's own infrastructure. Such services are governed by a specific agreement.
3.1 Technical architecture
The AI Agents designed on the Bayes Platform rely on an AI Model as well as connectors and repositories made available by the Association. The Association has not used any proprietary data for the training of these models. No personal data relating to a User, Beneficiary or Partner is retained for the purpose of improving these AI Models or the Bayes Platform. Only non-personal data (such as the number of requests per Partner) may be used for statistical purposes. The Association does not intervene in the generation, validation or customisation of results produced by the AI model. AI Agents may be deployed according to two technical modalities:
On the Association's technical infrastructure. In this context, the Association may engage subcontractors for the hosting, operation or maintenance of the Service. The subcontractors used by the Association are listed in the privacy policy and in the data processing addendum.
On the Partner's own infrastructure. In this case, the Partner is solely responsible for the technical operation, security and compliance of its IT infrastructure. In this scenario, the Association cannot be held liable for technical, security or availability incidents resulting from that infrastructure.
These modalities are specified in a Service Agreement.
3.2 Permitted Uses
AI Agents are designed as assistance tools intended to support the activities of Users. They do not constitute an automated decision-making system and do not replace human judgement. The purpose of each AI Agent is determined by each Partner according to the needs of its Users and the services it provides to its Beneficiaries. An AI Agent may not be intended or configured for use in connection with practices prohibited under Article 5 of Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 laying down harmonised rules on artificial intelligence (the "AI Act"). An AI Agent may not be intended or configured for use as a high-risk AI system within the meaning of Article 6 of the AI Act. The Partner undertakes to inform Users and Beneficiaries of the use of an AI Agent, as well as of the conditions of its use and its purpose. Partners remain responsible for assessing the compliance of their uses of AI Agents with applicable regulations, including the AI Act and any sector-specific regulations.
3.3 Risk management
The risk management framework is defined according to the specific characteristics of each Partner. It consists of an iterative and ongoing process. Following delivery of the AI Platform under a Service Agreement, the Association undertakes to transmit to the Partner any new information relating to the risks that AI Agents may present. It is the responsibility of each Partner to assess these risks in light of the Permitted Uses and configurations adopted. Bayes Impact France has an ethics committee, composed of qualified individuals, to provide Partners with solutions tailored to their specific context.
3.4 Event logging
The Association ensures that the design and development of AI Agents incorporate functionalities enabling the automatic recording of events ("logs") throughout the operational life of the AI Agents. These logging functionalities are in line with the state of the art and, where applicable, with recognised standards or common specifications, and are available for each AI Agent. The logging functionalities guarantee a level of traceability of AI Agent operation throughout its lifecycle that is appropriate to the Permitted Uses. In particular, these functionalities enable the recording of events relevant to identifying situations in which:
the AI Agents present a risk to the health, safety or protection of the fundamental rights of individuals; or
a substantial modification occurs.
The Association ensures the retention of logs automatically generated by an AI Agent, solely to the extent that such logs are under its control pursuant to a Service Agreement, for the entire duration thereof. Technical logs are retained for a period strictly necessary for the security and proper operation of the AI Agent and, in any event, for a period not exceeding twenty-four (24) months, unless otherwise required by law. Upon termination of a Partner's use of the Bayes Platform or upon expiry of a Service Agreement, the Association transmits these logs to the Partner without delay.
3.5 Transparency
The Association ensures that the design and development of AI Agents are such that the operation of a given Agent is sufficiently transparent to allow the Partner to reasonably understand how it functions. The Association ensures in particular that AI Agents allow, including through appropriate human-machine interfaces, effective oversight by natural persons, proportionate to the risks associated with the Agent. The Association ensures that the design and development of AI Agents follow the principle of security by default and by design. Given its Permitted Uses, the Agent should achieve an appropriate level of accuracy, robustness, security and cybersecurity, and operate consistently in this regard throughout its lifecycle. This responsibility lies with the Partner.
3.6 Security
Unless otherwise agreed contractually, the Parties undertake to comply with the following information security principles. Where AI Agents are hosted on the Association's infrastructure, their provision and use do not in principle require any interconnection with the Partner's information system. The Partner is prohibited in particular from:
accessing or attempting to access the Association's information systems without authorisation;
extracting, copying or reproducing all or part of the software, databases or content of the Service outside of authorised uses;
introducing malicious software or otherwise interfering with the operation of the Association's systems.
The Partner ensures that data entered into AI Agents is limited to the information strictly necessary for the purposes of the Service and complies with applicable personal data protection obligations. Each Party takes the necessary measures to ensure the security of its information systems and ensures that its infrastructure, software, networks and equipment are protected against information security risks, in accordance with applicable security best practices, including those published by ANSSI. As a general principle, where data is hosted by the Association, it is stored on infrastructure located within the European Union. Where processing involves health data or specific regulatory requirements, hosting may be carried out on infrastructure certified as compliant with applicable requirements, in particular regarding health data hosting, notably on a cloud service labelled SecNumCloud with servers located in France. Any interconnection of an AI Agent with a Partner's information system, or any implementation of specific security measures, may be the subject of a supplementary contractual agreement between the Parties.
3.7 Compliance
The Association ensures that the Bayes Platform remains compliant with these General Terms of Service, with the exception of any elements modified by the Partner on its own initiative.
4. Access to the Bayes Platform
In the context of their use of the Bayes Platform, Partners, Users and Beneficiaries undertake to comply with applicable laws and regulations and not to infringe the rights of third parties or public order.
4.1 Partner obligations
Partners are solely responsible for fulfilling all formalities, including fiscal and social obligations, and for all payments of contributions, taxes or duties of any kind required to carry out the actions available on the Bayes Platform. Partners, Users and Beneficiaries acknowledge having read and understood the characteristics and constraints, including technical ones, of the Bayes Platform and AI Agents. Partners are informed and accept that the use of the Bayes Platform and the implementation of AI Agents require an internet connection for which they are solely responsible, and that the quality of the service may depend directly thereon. Partners are solely responsible for the use of AI Agents by Users and Beneficiaries. They implement the necessary risk management and human oversight systems based on the Permitted Uses. Where Permitted Uses so require, it is the Partners' responsibility to ensure the conclusion of confidentiality or non-compete agreements, or compliance with professional secrecy obligations, in order to operate AI Agents. Partners ensure in particular that Users and Beneficiaries are aware of and able to:
recognise any tendency to automatically or excessively rely on the results produced by an AI Agent ("automation bias"), particularly where the Agent is used to provide information or recommendations regarding decisions to be taken by natural persons;
correctly interpret the results of the AI Agent, having regard in particular to the Agent's characteristics and the available interpretation tools and methods;
decide, in a particular situation, not to use the AI Agent or to disregard, override or reverse the result provided by the Agent.
Partners are prohibited, directly or through a third party, from indexing, referencing, crawling, extracting, scraping, harvesting or manually or automatically scanning the Bayes Platform or an AI Agent, its functionalities, content or the Association's data. Partners undertake to provide the Association with all information necessary for the proper performance of the Bayes Platform and all legal obligations to which it may be subject in connection with the provision of the Bayes Platform. More generally, Partners undertake to actively cooperate with the Association for the proper performance of these General Terms of Service. The Association's liability may not be engaged in any of these respects.
4.2 Partner spaces and User accounts
Partners have an administrator space. They are fully and solely responsible for the activity of their space, its confidentiality, and the lawfulness of the actions for which it is used. Partners may have multiple User accounts. In their relations with the Association, Partners remain fully and solely responsible for the activity of these User accounts, their confidentiality, and the lawfulness of the actions for which they are used. The Partner space and User accounts are protected by a username and password chosen by the Partner and the User. The Association undertakes not to disclose this password to third parties. Partners and Users are fully and solely responsible for the security of their accounts in this regard. They undertake in particular to notify the Association as quickly as possible of any unauthorised use. Users undertake to provide accurate, up-to-date and complete information at the time of the registration process. They also undertake to update such information as it evolves. The Association reserves the right to immediately suspend or delete any Partner space or User account, at any time and for any reason, including where a User has created multiple accounts, where an account has been created with false information, or where a Partner space or User account is being used for unlawful purposes. The relationship between Partners and their Users, as well as the relationship between Partners and Beneficiaries and between Users and Beneficiaries, is governed exclusively by the agreements binding them. The Association disclaims all liability in this regard.
4.3 Financial terms
Use of the Bayes Platform is free of charge. This includes the hosting of AI Agents designed using the Bayes Platform and any data used by the Partner in this context, within the limits of reasonable use. In the event of specific needs on the part of the Partner, or in excess of reasonable use, the Association may, through a Service Agreement and with the Partner's agreement, offer the Partner additional services under different financial terms for the implementation and maintenance of the Service. The Association may also, through a Service Agreement and with three months' notice, provide for different hosting terms on a paid basis where the Partner has exceeded the conditions of reasonable use. The Association may discontinue hosting in the event that such an agreement is refused. For the purposes of this article, reasonable use is defined as use not exceeding 50,000,000 tokens per month.
5. Liability
5.1 Partner liability
The Partner is solely responsible for:
adapting the AI Agent to its specific needs;
assessing the compliance of final uses with applicable regulations, in particular regarding prohibited and high-risk uses;
implementing the obligations to which it may be subject under law and regulations, including AI governance obligations under the AI Act, to ensure that its staff and other persons responsible for operating and using the AI Agents on its behalf, taking into account their technical knowledge, experience, education and training, the context in which the AI Agents are to be used, and the persons or groups of persons on whom the AI Agents are to be used;
implementing human evaluation, monitoring or validation measures as required by the nature of its activities;
its relationship with Users and its relationship with Beneficiaries.
The Association disclaims all liability in this regard.
5.2 Prohibited conduct
Without prejudice to any other prohibition set out in these General Terms of Service, Partners, Users and Beneficiaries undertake to use AI Agents responsibly. Partners, Users and Beneficiaries are prohibited in particular from providing personal information relating to a child aged 13 or under, or below the applicable legal age of digital consent, or from allowing a minor to use an AI Agent without the prior and valid consent of their parent or legal representative. They are also prohibited from using an AI Agent for the following purposes: engaging in illegal or fraudulent activities or activities that infringe the rights or safety of third parties; disturbing public order or violating applicable laws and regulations; intruding into the IT systems of a third party or carrying out any activity liable to harm, control, interfere with or intercept all or part of a third party's IT system, or to violate its integrity or security; sending unsolicited emails or commercial solicitations; manipulations aimed at improving the search engine ranking of a third-party website; aiding or inciting, in any form or manner, any of the acts and activities described above; and more generally any practice that diverts the service from its intended purpose. Partners, Users and Beneficiaries undertake to respect the continuity of the Bayes Platform service. They are prohibited in particular from: any conduct liable to interrupt, suspend, slow down or prevent the continuity of the service; any intrusion or attempted intrusion into the service; any misappropriation of the system resources of the Bayes Platform; any action liable to impose a disproportionate load on the infrastructure of the Bayes Platform; any breach of security and authentication measures; any act liable to harm the financial, commercial or moral rights and interests of the Association or of Partners, Users and Beneficiaries of the Bayes Platform or an AI Agent. Partners, Users and Beneficiaries undertake to respect the value of the Bayes Platform. They are prohibited from monetising, selling or granting all or part of access to the Bayes Platform or an AI Agent.
5.3 Disclaimer regarding the operation of the Bayes Platform
The Association cannot guarantee that its service will not experience interruptions. The Association undertakes to provide the Bayes Platform with due diligence and in accordance with best professional standards, it being understood that this constitutes an obligation of means only, to the exclusion of any obligation of result, which Partners expressly acknowledge and accept. The Association cannot be held liable for temporary difficulties or inability to access the Bayes Platform where these arise from circumstances beyond its control, force majeure, or disruptions to telecommunications networks. The Bayes Platform is provided as is. The Association cannot guarantee to the Partner that it is entirely free from errors, defects or faults. In any event, any liability incurred by the Association shall be expressly limited to actual and direct damages suffered by Beneficiaries, excluding in particular damages caused by AI Models of which the Association is not the owner. The Association expressly reserves the right to temporarily interrupt access to its service for maintenance purposes.
5.4 Express disclaimer of liability
The Partner expressly acknowledges that:
use of the Bayes Platform and an AI Agent is at its sole responsibility;
it is solely responsible for evaluating, assessing and ensuring the compliance of its use of an AI Agent with its needs and applicable laws, in particular regarding artificial intelligence regulation (AI Act);
it alone bears the consequences of any use, integration, deployment or combination of an AI Agent with its own systems, products or services.
In no event shall the Association be liable, on any grounds whatsoever, for:
results produced by an AI Agent, or their use by a User or Beneficiary;
decisions taken on the basis of results generated by an AI Agent;
direct or indirect damages, whether material or immaterial, financial losses, data losses, reputational harm or any other harm, including to the rights of third parties, resulting from the use of an AI Agent.
The Partner shall indemnify and hold the Association harmless against any claim, action or demand by third parties arising from its use of an AI Agent. This disclaimer does not apply, however, in the event of wilful misconduct or fraud by the Association. In any event, the Association's liability may only be engaged for direct and foreseeable damages resulting from a proven breach of its contractual obligations.
5.5 Partner indemnity in favour of the Association
Partners shall indemnify the Association against all complaints, claims, actions or demands of any kind that the Association may suffer as a result of a breach by them, Users or Beneficiaries of any of their obligations or warranties under these General Terms of Service. Partners undertake to compensate the Association for any loss suffered and to pay all costs, charges and penalties incurred as a result. Partners waive all recourse against the Association for any damages (material, bodily, immaterial, whether consequential or not) suffered in connection with the performance or non-performance of a training course.
6. Links to third-party sites
The Bayes Platform or an AI Agent may provide links to third-party websites. Linked sites are not under the control of the Association, which bears no responsibility for their content and offers no guarantee in respect thereof. It is the responsibility of Partners to take all necessary measures to ensure that their Users and Partners carry out all necessary or appropriate checks before entering into any transaction with any such third party.
7. Notification and removal of unlawful content
The Association enables Partners to report unlawful content or conduct by sending an email to dpo@bayesimpact.org. The Association will endeavour to remove unlawful content, or to delete offending accounts, as promptly as possible and within the framework of existing law.
8. Intellectual property
8.1 Bayes Platform
The source code of the general infrastructure of the Bayes Platform is made available under an open licence. No intervention on the part of the Partner is required to access it. The Partner expressly acknowledges Bayes Impact's ownership of all elements ancillary to the infrastructure of the Bayes Platform, including in particular the systems, software, structures, infrastructure, databases and content of any kind (texts, images, visuals, music, logos, trademarks, databases, etc.) operated by Bayes Impact and protected by copyright, intellectual property rights, industrial property rights or database producers' rights in force. Without prejudice to the foregoing, the Partner is prohibited from copying or misappropriating, for its own purposes or those of third parties, the concept, technologies or any other element of the Bayes Platform. All disassembly, decompilation, decryption, extraction, reuse, copying, and more generally all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, without the authorisation of Bayes Impact are strictly prohibited.
8.2 Partner ownership
The Partner retains exclusive ownership of its trademarks, logos and trade names. Use of the Bayes Platform does not entail any assignment, transfer or licence, whether for consideration or free of charge, of intellectual property rights over the trademarks, logos and trade names belonging to the Partner, except as specifically provided for in a Service Agreement. Without prejudice to the provisions relating to data, data transmitted by a Partner for the use of the Bayes Platform or an AI Agent, as well as data generated through the use of an AI Agent, are the property of the Partner, which is free to extract, store, modify, reproduce, integrate into its information system or into any software of its choice. The Association is not authorised to retain or reproduce such data.
8.3 Common provisions
Each Party expressly undertakes not to infringe, directly or indirectly, the intellectual property rights of the other Party or of third parties in the context of the Bayes Platform or an AI Agent. This applies to any element protected by the proprietary rights of third parties or of either Party, of whatever nature, with which the other Party may interact.
9. Data
9.1 Partner data
Data transmitted or generated in the context of the use of the Bayes Platform or an AI Agent by Partners, Users or Beneficiaries remains the exclusive property of the Partner. The Association uses such data only to the extent strictly necessary for the provision of the Bayes Platform or an AI Agent and does not exploit it for commercial purposes or for the training or improvement of AI Models.
9.2 Personal data
The Association is committed to the protection of personal data. It undertakes to maintain the highest level of protection, in compliance in particular with data protection and privacy legislation and Regulation (EU) 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data ("GDPR").
9.2.1 Processing of data as data controller
The Association acts as data controller solely for the data strictly necessary for the creation and management of Partner spaces and User accounts (identity, email address and technical access logs for the various platform features). This data is retained on the basis of the Association's legitimate interest, in particular to ensure the security of the Bayes Platform, enable its effective operation and comply with its legal obligations. It will not be transferred to third parties or exploited for commercial purposes. The Association also acts as data controller for data you transmit directly via contact forms, unsolicited emails or applications, to the extent strictly necessary for handling your request. With regard to applications, the legal basis for processing is the potential contract that may exist in due course, as pre-contractual measures taken at your request. We retain this data only for as long as necessary to handle your request and for up to two years from the last contact. With regard to contact requests, the legal basis is our legitimate interest. We retain this data only for as long as necessary to handle your request and for a period not exceeding three years from the last contact. In order to best ensure the protection of the personal data of its Partners, Users and Beneficiaries, the Association has appointed a Data Protection Officer. This data is processed in accordance with the privacy policy.
9.2.2 Processing of data as data processor
In the context of the use of the Bayes Platform or an AI Agent, the Association may also be required to process, at the request and on behalf of the Partner, personal data within the meaning of the GDPR. The Association acts as data processor. The Partner retains the status of data controller. The terms governing such personal data processing are set out in the data processing addendum and form the subject of a dedicated annex to the agreement for the provision of the Bayes Platform or an AI Agent, in accordance with the provisions of the GDPR. The Partner warrants that it holds all necessary legal bases to transmit and have processed the data concerned through the Bayes Platform or an AI Agent.
10. General provisions
Should any provisions of these terms be declared invalid or unenforceable, the remaining provisions shall remain in full force and effect. The Association has the right to assign, transfer, subcontract or delegate rights, duties or obligations under these terms. Partners agree that neither these terms nor the use of the service create a joint venture, common enterprise, employment contract or agency relationship between themselves and the Association. In the event of a translation of these terms into one or more languages, the French language version shall prevail for interpretation purposes in the event of any contradiction or dispute as to the meaning of a term or provision. These General Terms of Service are entered into for an indefinite period.
11. Amendments
The Association reserves the right to modify these General Terms of Service at any time, including with respect to usage fees and provisions relating to personal data. Partners will be informed of such modifications by any appropriate means. The date of update will always be indicated at the top and bottom of these terms. Use of the Bayes Platform or an AI Agent following the display of a modification on the Bayes Platform or an AI Agent constitutes full and unreserved acceptance of the amended terms. The only way to refuse acceptance of an amendment to these terms is to cease using the Bayes Platform or an AI Agent. Any Partner who does not accept the amended General Terms of Service must unsubscribe from the service. Any Partner who uses the service after the amended General Terms of Service come into force is deemed to have accepted such amendments.
12. Sanctions
In the event of a breach by the Partner of its obligations, whether under these General Terms of Service or a Service Agreement, or in the event of a violation of applicable laws and regulations, the Association reserves the right, without prejudice to any other remedy, to take any appropriate measures, including:
suspending or terminating access to the service;
removing any content or training material published on the site;
publishing any relevant information notice;
notifying any relevant authority;
initiating legal proceedings.
13. Force majeure
Neither Party shall be deemed to have breached its obligations under these General Terms of Service or a Service Agreement to the extent that non-performance results from a force majeure event as defined by case law. The Party affected by a force majeure event shall notify the other Party immediately in writing, confirmed by registered letter with acknowledgement of receipt, providing all relevant supporting documentation. The other Party reserves the right to verify and assess the reality of the facts. The Party invoking force majeure shall do everything in its power to minimise the harmful effects of the situation. In the first instance, force majeure events shall suspend the performance of the Service or any related services that may have been provided for under a Service Agreement, upon receipt of the notification of the force majeure event. If the effects of a force majeure event persist for more than one (1) month, and after all possible workarounds have been explored, each Party shall have the right to terminate the Service or the services provided for under a Service Agreement whose performance has been delayed or prevented.
14. Termination of the service or of any services provided for under a Service Agreement
14.1 Termination for cause
In the event of a breach by either Party of any of its obligations under these General Terms of Service or a Service Agreement, the other Party may terminate by operation of law the provision of the Service and any related services that may have been provided for under a Service Agreement, without prejudice to any damages to which it may be entitled hereunder.
14.2 Early termination
The Service and any related services that may have been provided for under a Service Agreement shall also terminate by operation of law, without judicial intervention and without compensation, if any competent authority prohibits its object. In the event that the Association decides to discontinue the Service or any related services that may have been provided for under a Service Agreement for ethical reasons, security reasons, public service mission reasons, failure or ineffectiveness of the Bayes Platform or an Agent, or the safety of Beneficiaries or Users, the Service or Service Agreement shall cease to apply by operation of law, without judicial intervention or compensation. The Association may also terminate the Service or any related services that may have been provided for under a Service Agreement in the event of the Partner's refusal of an amendment to the proposed terms following material difficulties on the part of the Association in delivering the Service or related services. In this case only, fifteen (15) days' notice shall be required.
14.3 Effect of early termination or expiry
As of the date of termination of the Service or any related services that may have been provided for under a Service Agreement, for whatever reason, the Parties shall return to each other all documents or materials within a maximum of five (5) business days.
14.4 Survival of certain provisions
The provisions of the articles "Intellectual Property", "Personal Data", "Warranty", "Confidentiality", "Liability" and "Governing Law and Jurisdiction" of the Agreement shall remain in force notwithstanding its expiry or early termination.
15. Governing law and dispute resolution
The Association reserves the right to take any appropriate measures in the event of a breach by Partners, Users or Beneficiaries of these terms, or of applicable laws and regulations, including:
suspending or terminating access to the Bayes Platform and AI Agents hosted on the Association's infrastructure;
removing any content or training material published on the site;
publishing any relevant information notice;
notifying any relevant authority;
initiating legal proceedings.
Use of the Bayes Platform is governed by French law. In the event of a dispute relating to the validity, interpretation or performance of these General Terms of Service, the Paris judicial court (Tribunal judiciaire de Paris) shall have sole jurisdiction. However, where the law requires the jurisdiction of an administrative court, the dispute shall be brought before the competent administrative court. Prior to any recourse to the courts, Partners undertake to negotiate with the Association in good faith and in a spirit of loyalty, with a view to reaching an amicable settlement in the event of any dispute relating to the Bayes Platform or an AI Agent or these terms, including as to their validity. Partners wishing to initiate the mandatory prior negotiation process must notify the Association by registered letter with acknowledgement of receipt, stating the elements of the dispute. At least one meeting shall then be organised between the Partners and the Association. If, at the end of a period of six months, the Partners and the Association have been unable to reach an agreement, the dispute shall be submitted to the competent court designated above. The running of the limitation period shall be suspended from the initiation of the negotiation process, being the date of receipt of the notification sent by registered letter with acknowledgement of receipt. The suspension of the limitation period shall end on the date of signature of the conciliation or non-conciliation report. In the event that either the Partners or the Association refuses to sign said report, the other party may place on record such refusal by informing the refusing party that, absent a response within one month, referral to the competent court will be possible. Throughout the entire negotiation process and until its conclusion, Partners are prohibited from bringing any legal action against the Association in respect of the dispute that is the subject of the negotiation. The obligation of prior negotiation does not preclude either party from applying to the competent court for interim relief, in particular in cases of urgency or to seek interim measures.
